1. Agreement to Terms
These Terms of Service (“Terms”) are an agreement between you and Newton Exam LLC (“Newton Exam,” “we,” “us,” or “our”) and govern your access to and use of Newton Exam, including our website and any related services (the “Platform”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
2. What Newton Exam Is
Newton Exam is a marketplace that connects students seeking SAT and ACT tutoring with independent tutors. Newton Exam facilitates discovery, scheduling, messaging, and payment between students and tutors, but tutors are independent contractors, not Newton Exam employees or agents. Newton Exam is not a party to the tutoring relationship itself and does not guarantee any particular score improvement, admissions outcome, or teaching quality.
3. Eligibility and Accounts
You must provide accurate information when creating an account and keep it up to date. Because many Newton Exam students are high school students under 18, we expect a parent or guardian to be involved in account creation and any payment for a student under 18 in their household. You are responsible for all activity that occurs under your account and for keeping your login credentials secure.
4. Booking and Payment
Students purchase individual sessions or multi-session packages directly from a tutor’s listed rate. Payments are processed securely through Stripe; Newton Exam does not store your full payment card details. Coupon codes, where available, apply only under the terms stated at checkout. Purchased sessions are scheduled and tracked through your dashboard. See our Refund & Cancellation Policy for how rescheduling and refunds work.
5. Tutors
Tutors apply, complete a profile, and must accept Newton Exam’s Independent Tutor Agreement before their listing goes live. Tutors are independent contractors who set their own rates, availability, and subjects. Newton Exam retains a platform fee of 20% from tuition paid by students before remitting the remainder to the tutor. Additional terms specific to tutors are set out in the Independent Tutor Agreement presented during tutor onboarding.
6. Reviews and User Content
Students who complete a paid session with a tutor may leave a public review of that tutor. You are responsible for content you submit to the Platform, including reviews, messages, and uploaded files (such as profile photos, intro videos, and credential documents), and you represent that you have the right to share it. You agree not to post content that is false, defamatory, harassing, or that infringes someone else’s rights, and not to manipulate or solicit reviews in bad faith.
7. Acceptable Use
You agree not to misuse the Platform, including by attempting to circumvent booking or payment through Newton Exam for a session arranged on the Platform, impersonating another person, uploading malicious content, scraping or reverse-engineering the Platform, or using it for any unlawful purpose. Newton Exam may suspend or terminate accounts that violate this section.
8. Intellectual Property
The Newton Exam name, logo, website, and underlying software are owned by Newton Exam LLC or its licensors and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform except as necessary to use it as intended.
9. Third-Party Services
The Platform relies on third-party services to operate, including Stripe for payments, Checkr for optional tutor background checks, and email and hosting providers. Your use of those integrated services is also subject to their own terms and privacy practices.
10. Disclaimers
The Platform is provided “as is” without warranties of any kind, express or implied. Newton Exam does not guarantee that tutoring sessions booked through the Platform will result in any particular test score, and is not responsible for the conduct, accuracy, or quality of content provided by tutors or students.
11. Limitation of Liability
To the fullest extent permitted by law, Newton Exam will not be liable for indirect, incidental, or consequential damages arising from your use of the Platform. Newton Exam’s aggregate liability to you for any claim arising out of these Terms is limited to the amount you paid to Newton Exam through the Platform in the three months preceding the claim.
12. Termination
You may stop using the Platform or close your account at any time from your dashboard. Newton Exam may suspend or terminate your access for violation of these Terms, suspected fraud, or safety concerns, or for any reason with reasonable notice, except where immediate action is needed to protect users or the Platform.
13. Governing Law
These Terms are governed by the laws of the state in which Newton Exam LLC maintains its principal place of business, without regard to conflict-of-laws principles. The parties will attempt to resolve any dispute informally before pursuing other remedies.
14. Changes to These Terms
Newton Exam may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the update on this page. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
